Organizer Agreement

1. Introduction

This Organizer Agreement ("Agreement") is a binding contract between you ("Organizer," "you," or "your") and Arvee Solutions, Inc. ("Arvee," "we," "us," or "our"). It governs your use of Arvee Events as an event organizer — including listing events, receiving payments, and managing events through the platform.

This Agreement supplements the Arvee Events Terms of Service. In the event of a conflict between this Agreement and the Terms of Service, this Agreement controls for matters related to your role as an organizer.

By completing Stripe Connect onboarding and listing an event on Arvee Events, you accept this Agreement. If you do not agree to these terms, do not list events on the platform.

2. Appointment as Limited Payment Agent

You hereby appoint Arvee as your limited payment agent solely for the purpose of accepting and processing payments from event participants ("Participants") on your behalf, and for disbursing those payments to you in accordance with this Agreement.

A payment processed by Arvee from a Participant is treated the same as a payment made directly from the Participant to you. You must fulfill all obligations related to the event regardless of whether event proceeds have been disbursed to you by Arvee.

In accepting appointment as your limited payment agent, Arvee assumes no liability for any of your acts or omissions. Arvee's obligation to pay you is subject to and conditional upon the successful collection of payments from Participants.

Arvee is not a bank, money transmitter, payment processor, broker, insurance provider, or financial services company. All payment processing is performed by Stripe, a licensed third-party payment processor. Your account balance on the platform is a reflection of collected fees and represents a general unsecured claim against Arvee, not a deposit or stored value.

3. Organizer Representations and Warranties

By listing an event on Arvee Events, you represent and warrant that:

  • You have the legal authority to create the event, charge Participants, and bind yourself (or your organization) to this Agreement.
  • All information you provide about your event — including descriptions, locations, dates, pricing, and expense summaries — is accurate, complete, and not misleading.
  • You will comply with all applicable laws and regulations related to your event, including permits, land access rights, local regulations, health and safety requirements, and tax obligations.
  • You have obtained all necessary permissions, licenses, and consents required to host your event at the specified location.
  • Any images, text, or other content you upload to the platform is owned by you or used with proper authorization, and does not infringe on any third party's intellectual property rights.
  • You will not use Arvee Events to facilitate any illegal activity, fraudulent scheme, or activity that violates our Terms of Service.

4. Organizer Obligations

Event Delivery

When your event reaches confirmation (threshold met and payments processed), you are obligated to deliver the event as described in your listing. This includes providing the venue, activities, amenities, and any other commitments made in your event description.

Communication

You owe Participants a high standard of honest and timely communication. You must promptly notify Participants of any material changes to the event, including schedule changes, venue changes, or activity modifications. If you are unable to deliver the event as described, you must communicate this to Participants as soon as reasonably possible.

Safety and Risk Management

You are solely responsible for the safety of all Participants at your event. This includes conducting appropriate risk assessments, having emergency plans in place, ensuring the venue is safe and suitable, and complying with all applicable health and safety regulations. Arvee does not inspect venues, supervise events, or provide any safety oversight.

Tax Obligations

You are solely responsible for determining and remitting all applicable taxes related to your event, including income taxes, sales taxes, and any other taxes imposed by federal, state, or local authorities. Arvee may report payments to tax authorities as required by law, including issuing IRS Form 1099-K when applicable thresholds are met.

Cooperation

You agree to fully cooperate with any request from Arvee for information or documentation that we reasonably deem necessary to verify your compliance with this Agreement. This includes providing evidence of how funds were used, proof of event delivery, identity verification, and any other information related to your event or account.

5. Stripe Connect and Payment Processing

To receive event revenue, you must complete Stripe Connect onboarding and maintain an active Stripe connected account. By completing onboarding, you also agree to Stripe's Connected Account Agreement, which governs your relationship with Stripe.

You are the merchant of record for event ticket purchases. Your business name will appear on Participant bank and credit card statements. You are responsible for providing accurate business information to Stripe during onboarding.

Arvee is not responsible for Stripe's performance, availability, or any actions taken by Stripe regarding your connected account. Issues with your Stripe account (including identity verification, payout holds, or account restrictions imposed by Stripe) are between you and Stripe.

6. Fees and Payouts

Listing Bond

You pay a listing bond when submitting an event for review. The listing bond is returned only upon event confirmation. In all other outcomes — denial, abandonment, failure, or cancellation — the listing bond is retained by Arvee. See our Refund Policy for details.

Service Fees

Arvee charges a service fee on each Participant payment. Service fees are deducted before proceeds are transferred to your Stripe account. The applicable service fee rate is displayed during event creation and is subject to change with notice. Service fees are non-refundable in all circumstances.

Payout Timing

Event proceeds (Participant payments minus service fees) are transferred to your connected Stripe account after event confirmation. The timing of transfers from Stripe to your bank account is governed by Stripe's payout schedule and is outside Arvee's control.

You should not take actions in reliance on receiving event proceeds until funds have been successfully deposited into your bank account.

Reserves and Holds

Arvee may, in its sole discretion, place a hold on event proceeds, delay transfers, or establish reserves based on: the risk profile of your event, chargeback or dispute history, fraud indicators, compliance concerns, or any other factor Arvee reasonably deems relevant to protecting Participants. Holds and reserves will be communicated to you and released when the underlying concern is resolved.

7. Chargebacks and Payment Disputes

Because you are the merchant of record, chargebacks and payment disputes related to your event are directed to your Stripe account and are ultimately your responsibility. You must respond promptly to chargeback notifications and provide documentation as requested by Stripe.

If chargebacks result in a negative balance on your Stripe account, you are responsible for funding the shortfall. If Arvee incurs costs as a result of chargebacks related to your event (except those caused solely by Arvee's negligence or willful misconduct), you agree to promptly reimburse Arvee for those costs.

8. Cancellation and Fund Recovery

If you cancel a confirmed event, Arvee will initiate fund recovery on behalf of Participants by reversing transfers from your Stripe account. If funds have already been paid out to your bank account, Stripe will initiate a bank debit to recover the amount.

You are obligated to maintain sufficient funds in the bank account linked to your Stripe account to cover potential reversals for the duration of the event lifecycle. If a bank debit fails and funds cannot be recovered, you remain personally liable for the shortfall and must remit the outstanding amount to Arvee within 10 business days of notification.

If you are unable to deliver a confirmed event, you must:

  • Notify Participants and Arvee as soon as reasonably possible, and before the scheduled event start date.
  • Provide a clear explanation of the circumstances and how event funds were used.
  • Cooperate fully with Arvee's fund recovery process.

9. Platform Rights

To protect the integrity of the marketplace and the interests of Participants, Arvee reserves the right to:

  • Reject, remove, or suspend any event listing at any time and for any reason.
  • Withhold, delay, or reverse transfers of event proceeds.
  • Issue refunds to Participants from event proceeds when we determine, in our sole discretion, that circumstances warrant it.
  • Suspend or terminate your organizer privileges and access to Arvee Events.
  • Investigate your event, account, or conduct at any time to ensure compliance with this Agreement and our Terms of Service.
  • Modify the platform, features, or services without notice or liability.

If we restrict your account or intend to terminate your organizer privileges, we will notify you of the reasons for the action and, where appropriate, how you can remedy the issue — unless we are prohibited from doing so by law or in the interest of safety or fraud prevention.

10. Indemnification

You agree to defend, indemnify, and hold harmless Arvee Solutions, Inc., its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your event, including personal injury, property damage, or death occurring at or in connection with your event.
  • Your breach of this Agreement or the Terms of Service.
  • Your violation of any applicable law or regulation.
  • Any claim by a Participant, vendor, venue, or third party arising from your event.
  • Any content you submit to the platform, including event descriptions, images, and other materials.
  • Chargebacks, payment disputes, or refund claims related to your event.
  • Any tax liability arising from your event proceeds.

This indemnification does not apply to the extent a claim arises from Arvee's gross negligence or willful misconduct.

Arvee reserves the right to assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with Arvee in asserting any available defenses.

11. Insurance

Arvee does not provide insurance of any kind for events listed on the platform. You are solely responsible for obtaining appropriate insurance coverage for your event.

We strongly recommend that all organizers obtain event-specific general liability insurance. For events with total ticket revenue exceeding $5,000, Arvee may require you to provide proof of general liability insurance as a condition of event approval. Arvee reserves the right to adjust this threshold at any time.

12. Limitation of Liability

To the fullest extent permitted by law, Arvee's total liability to you for any claim arising from or related to this Agreement or your use of Arvee Events as an organizer is limited to the service fees collected by Arvee from Participants for the applicable event.

In no event shall Arvee be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of Arvee Events as an organizer.

Arvee provides the platform "as is" and "as available" without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Term and Termination

This Agreement is effective when you complete Stripe Connect onboarding or list your first event on Arvee Events, whichever occurs first, and remains in effect until terminated.

You may terminate this Agreement at any time by ceasing to list events on Arvee Events and notifying us at support@arvee.io. Termination does not release you from obligations related to events that are already listed, in progress, or confirmed.

Arvee may terminate this Agreement or suspend your organizer privileges immediately if you breach any provision of this Agreement, if we determine that your continued use poses a risk to Participants or the platform, or for any other reason at our sole discretion. We will provide notice of termination and, where appropriate, an opportunity to cure — except where immediate action is required to prevent harm or fraud.

Upon termination, the following provisions survive: Sections 2 (Limited Payment Agent), 7 (Chargebacks), 8 (Cancellation and Fund Recovery), 10 (Indemnification), 12 (Limitation of Liability), and 14 (Dispute Resolution).

14. Dispute Resolution

Disputes arising from this Agreement are subject to the Dispute Resolution provisions in Section 11 of the Arvee Events Terms of Service, including the mandatory arbitration clause, class action waiver, and governing law provisions.

15. General Provisions

This Agreement, together with the Arvee Events Terms of Service, Refund Policy, Privacy Policy, and Stripe Connected Account Agreement, constitutes the entire agreement between you and Arvee regarding your use of Arvee Events as an organizer.

If any provision of this Agreement is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision will not be considered a waiver of those rights.

You may not assign or transfer this Agreement without Arvee's prior written consent. Arvee may assign this Agreement without restriction.
